Responsibilities

Position Summary

The Counsel, Sr role will focus on providing legal advice and support to our Facilities and Procurement teams and will serve as a trusted, valued, and strategic legal partner and advisor to the Bank. We are an in-office working environment 5 days a week.  The office location for this role is in Evansville IN.

 

Salary Range

 The salary range for this position is $127,900 - $258,600 per year. Final compensation will be determined by location, skills, experience, qualifications and the career level at which the position is filled.

 

Key Accountabilities

  • Provide legal support for Facilities and Procurement Teams, including conducting legal research and advising on applicable laws and regulations, contracts, real estate documents, leases and related procedures.
  • Draft, review and negotiate various agreements and documents for real estate transactions, including sales, purchases, leases, deeds, affidavits, easements, construction agreements, closing documents and other real estate-related documents and matters.
  • Manage legal aspects of due diligence for real estate transactions.
  • Conduct or oversee real estate closings.
  • Review title insurance commitments and policies as well as environmental site assessments and other environmental matters.
  • Ability to interact with property owners, landlords, contractors and vendors.
  • Draft, review and negotiate vendor contracts, confidentiality and non-disclosure agreements and other forms of vendor agreements.
  • Coordinate and work on various other Bank legal projects as needed.
  • Manage outside counsel, paralegals and other staff as needed.
  • Support other areas of the Bank as needed or requested.

Qualifications and Education Requirements

  • Minimum of 10 years’ experience practicing law full-time working in a legal department of a medium or large financial institution, or with a major law firm with substantive experience with real estate and procurement matters.
  • Admitted to practice, and in good standing with the bar of one of the states in our footprint, with preference given to Illinois, Indiana or Minnesota, or qualified to be registered to practice as in-house counsel in the applicable state.
  • Ability to apply sound legal analysis and practical business judgment to legal matters.
  • Ability to consult with and advise Bank management at all levels.
  • Strong written, oral and interpersonal communication skills.
  • Ability to deliver timely, high quality work product.
  • Ability to work within a team environment.
  • Ability to work in-office within ONB’s footprint and preferably in our Chicago, Evansville, Indianapolis, or Minneapolis/St. Paul markets.

DESIRED EXPERIENCE

  • Knowledge of and experience with real estate matters generally.
  • Knowledge of applicable laws and regulations related to real estate, leases, title matters, closing documents and environmental matters.
  • Knowledge of and experience with reviewing and analyzing vendor contracts.
  • Ability to find efficiencies through preferred types of agreements, leases and processes.
  • Ability to effectively communicate legal advice and engage with management and third parties consistent with the Bank’s culture and business strategy.
